This Membership and Vendor Terms of Use Agreement (“Agreement”) is entered into between RAF Productions, doing business as The One Wedding Show and Magazine (“RAFP”), and the individual or entity accessing and utilizing RAFP’s services, hereinafter referred to as the “Member” or “Vendor.”

1. Definitions

• RAFP: RAF Productions doing business as The One Wedding Show and Magazine, referred to as “RAFP” throughout this Agreement.
• Member: An individual or entity that has subscribed to one of RAFP’s membership plans.
• Vendor: An individual or entity offering products or services to Members through RAFP’s platform.
• Membership Plans: The three different tiers of membership offered by RAFP, each with varying pricing and benefits.
• Website: RAFP’s official website, located at www.theoneweddingshow.com.
• Email: RAFP’s official email address for communications, team@theoneweddingshow.com.

1. Services and Members of the Service

RAFP offers an innovative community and marketplace for the wedding industry, providing a platform where business entities and individuals (“Members” or “Users”) can engage in wedding-related activities, such as vendor listings, networking, Specials and/or Promotions and information sharing.

Membership Eligibility and Verification Process

3.1 RAFP’s services are exclusively available to Members who meet the following criteria:

• Members must be business entities or individuals.
• Members must be at least 18 years of age or older.
• Members must have the legal capacity to enter into and form legally binding contracts under the applicable laws.

3.2 Verification Process for Non-Venues and Non-Free Venues

• For business entities or individuals seeking to list as non-venues or non-free venues on RAFP’s platform, a verification process may apply. RAFP reserves the right to request additional information or documentation to confirm the authenticity of the entity’s status as a non-venue or non-free venue. This process is designed to maintain the integrity of the platform and ensure that only eligible entities are granted access to certain membership tiers. Along with maintaining Trusted and Reliable Vendors for anyone seeking their services.
• By using RAFP’s services and becoming a Member, you represent and warrant that you meet the eligibility criteria stated above, and you acknowledge the possibility of undergoing a verification process as described for non-venues and non-free venues. 
• If you do not meet these criteria or fail to complete the verification process, you are not authorized to use the services or participate in certain membership tiers. You will receive an email from team@theoneweddingshow with the reason and how you can improve and/or update information to be able to go through the verification process again.

Membership Fees and Payment

• The Member agrees to pay the membership fee associated with their chosen Membership Plan as detailed on RAFP’s website and/or invoice.
• RAFP offers three distinct Membership Plans with varying features and benefits. Each membership is a year-long commitment and is automatically renewed unless canceled by the Member in accordance with the cancellation policy outlined in this Agreement.
• Payment for membership fees will be automatically processed using the payment method provided by the Member during sign-up.
• Membership fees will be automatically processed per year or monthly based on your selected payment plan.
• Membership fees are non-refundable except as explicitly stated in RAFP’s refund policy.

Member Responsibilities

• Members are responsible for ensuring that any information provided to RAFP, including during the membership registration process, is accurate, up-to-date, and complete. 
• Members are required to update RAFP if any information has changed or is incorrect and are solely responsible to inform RAFP for any changes that need to be changed to their account profile. 
• Requests must be submitted in writing to team@theoneweddingshow.com.
• RAFP has 14 business days to update and change their account information on their profile.

Membership Renewal

• Memberships are automatically renewed on an annual basis, and membership fees for the subsequent year will be charged automatically to the payment method on file, unless the Member cancels their membership as per the cancellation policy.

Cancellation, Termination and Refund Policy of Membership

• The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
• By agreeing to this Membership and Vendor Terms of Use Agreement, Members commit to a minimum term of one year of membership. This commitment includes agreeing to and completing at least 1 year of membership from the date of enrollment.
• These Terms of Service are effective for the agreed-upon minimum term unless and until terminated by either you or us. You have the right to terminate these Terms of Service at any time after completing the initial one-year commitment by providing notice to us that you no longer wish to use our Services, or when you cease using our site.
• If, in our sole judgment, you fail to comply with any term or provision of these Terms of Service, or if we have reasonable grounds to suspect such failure, we reserve the right to terminate this agreement at any time without prior notice. In such cases, you will remain liable for all amounts due up to and including the date of termination.
• We may also deny you access to our Services (or any part thereof) as a result of such termination.
• In the event of cancellation/termination, you understand and agree that any payment that has already been made to RAFP that you shall receive no refund or exchange for any unused time on a subscription, any license or subscription fees for any portion of the Services, any content or data associated with your account or for anything else, unless applicable terms provide otherwise.
• Cancellation/Termination requests must be submitted in writing to team@theoneweddingshow.com.
• In the event of cancellation, the Member will not be entitled to a refund for any unused portion of the current membership term.
• If cancellation/termination occurs prior to the expiration of the current membership term, the Member will not be charged for the subsequent year.

Governing Law, Venue, Jurisdiction and Dispute Resolution

• By using the Services, you agree that the laws of the State of Missouri, without regard to principles of conflict of laws of any state or jurisdiction, will govern the Terms and any dispute of any sort that might arise between you and us or any of our affiliates. With respect to any disputes or claims not subject to arbitration, you agree not to commence or prosecute any action in connection therewith other than in the state and federal courts of Missouri, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, venue and jurisdiction in the state and federal courts of Missouri.
• Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the American Arbitration Association.

Miscellaneous

• This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements.
• This Agreement may be amended only in writing and signed by both parties.

1. By signing up for a Membership Plan or using RAFP’s services, the Member or Vendor acknowledges that they have read, understood, and agreed to the terms and conditions outlined in this Agreement.

Acceptance of the Terms

By accessing and utilizing RAFP’s services, the Member or Vendor acknowledges that they have read, understood, and agreed to the terms and conditions outlined in this Membership and Vendor Terms of Use Agreement (“Agreement”). The Member or Vendor further acknowledges and agrees to the following:

• They have reviewed and understood the membership plans, pricing, and benefits associated with their chosen Membership Plan.
• They consent to the automatic renewal of their membership on an annual basis unless they cancel in accordance with the cancellation policy detailed in this Agreement.
• They have read and agree to comply with RAFP’s Vendor Terms of Use Agreement if applicable.
• They understand that membership fees are non-refundable except as explicitly stated in RAFP’s refund policy.
• They agree that disputes arising out of or in connection with this Agreement will be resolved through arbitration as per the rules of the American Arbitration Association.
• They acknowledge that this Agreement constitutes the entire understanding between the parties and supersedes any prior discussions or agreements.
• They confirm that they have the legal authority to enter into this Agreement on behalf of themselves or the entity they represent.
• We reserve the right, in our sole discretion, to change, modify, add, or remove portions of these Terms at any time, and you agree to be bound by such modifications or revisions. It is your responsibility to check the Terms periodically because any changes will be binding on you. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms.

Vendor Agreement

Vendors agree to abide by RAFP’s Vendor Terms of Use Agreement, separate from this Membership Agreement, which outlines the terms and conditions for listing products or services on RAFP’s platform.
